PDR solicits shareholders’ written opinions on the proposed investment in Lotte Properties HCMC
Phat Dat Real Estate Development Corporation (PDR: HOSE) has announced the solicitation of shareholders’ written opinions to seek approval for certain matters falling within the authority of the General Meeting of Shareholders. Accordingly, PDR’s Board of Directors will submit for shareholder consideration and approval a proposal to acquire an equity interest in Lotte Properties HCMC Co., Ltd. The proposed transaction value is approximately VND 10.4 trillion, representing from 35% to less than 50% of PDR’s total assets based on its most recent financial statements.
This is a significant investment within PDR’s strategy to develop and expand its project portfolio in the residential and commercial-service property segment. The target project is a premium mixed-use complex comprising residential and commercial-service components currently being developed by Lotte Properties HCMC.
In addition to the proposal for such investment, the BOD will also propose that shareholders authorize the BOD and further approve the delegation of authority by the BOD to the Board Chairman and/or the Chief Executive Officer, enabling them to decide upon and carry out all necessary actions and procedures for the implementation of the investment transaction in accordance with the resolution approved by the General Meeting of Shareholders.
The solicitation of opinions will be conducted among all shareholders holding PDR shares whose names appear on the shareholder register as of June 1st 2026. Shareholders may start submitting their voting ballots from June 11th 2026, and the deadline for voting is 12:00 p.m. on June 22nd 2026.
Voting ballots may be submitted in person, by post, or by sending a scanned copy of the voting ballot from their duly registered email address to the Company as instructed in the shareholder consultation documents.
